Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the website pulseaisolutions.com and any related content, consultations, training, software, and services (collectively, the “Services”) provided by Pulse AI Solutions (“we,” “our,” “us”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

Use of the Services

You agree to use the Services only for lawful purposes. You agree not to:

• Use the Services in any way that violates any applicable federal, state, local, or international law or regulation
• Attempt to gain unauthorized access to any portion of the Services, other accounts, or any systems or networks connected to the Services
• Introduce viruses, malware, or any other material that is malicious or technologically harmful
• Use any robot, scraper, or other automated means to access the Services for any purpose without our express written permission
• Reproduce, duplicate, resell, or exploit any portion of the Services without our express written permission

Consulting, Training, and Development Services

Engagements for AI consulting, training, custom agent development, rapid application development, and managed services are governed by a separate written agreement, statement of work, or proposal signed by both parties. Where those documents conflict with these Terms, the signed agreement controls for that engagement. Information presented on this website — including scopes, timelines, and pricing — is illustrative and does not constitute a binding offer.

Client Responsibilities

Where we perform services for you, you are responsible for providing timely access to the systems, data, personnel, and approvals we reasonably need, and for holding valid licenses for any third-party software or platforms used in the engagement. Delays caused by unavailable access or approvals may affect delivery timelines.

Fees and Payment

Fees, payment schedules, and invoicing terms are set out in the applicable proposal, statement of work, or subscription agreement. Unless stated otherwise, invoices are due within thirty (30) days of the invoice date, and amounts are exclusive of applicable taxes. We may suspend services on accounts that remain past due.

Third-Party AI Platforms

Our Services frequently involve third-party artificial intelligence platforms and software, including but not limited to Anthropic Claude, Microsoft 365 and Copilot, and other vendor tools. Your use of those platforms is governed by the applicable vendor’s own terms and policies. We do not control those platforms and are not responsible for their availability, pricing changes, model behavior, or output.

AI Output Disclaimer

Artificial intelligence systems can produce inaccurate, incomplete, or unexpected results. Output generated by AI systems — whether through our website, tools we build, or platforms we help configure — should be reviewed by a qualified person before being relied upon. Nothing produced by the Services constitutes legal, financial, medical, or other professional advice, and you remain responsible for decisions made using that output.

Intellectual Property

The Services, including all text, graphics, logos, images, and software, are owned by Pulse AI Solutions or its licensors and are protected by copyright, trademark, and other intellectual property laws. Deliverables produced under a signed engagement are assigned or licensed to you as described in that agreement; absent such terms, we retain ownership of our pre-existing materials, tools, templates, and general know-how.

Confidentiality

Each party agrees to protect the other party’s non-public business, technical, and customer information disclosed in the course of an engagement, and to use it only for the purposes of that engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Third-Party Links

The Services may contain links to third-party websites or resources provided for convenience only. We do not endorse and are not responsible for the content, products, or practices of those third parties.

Disclaimer of Warranties

Except as expressly stated in a signed agreement, the Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

Limitation of Liability

To the fullest extent permitted by law, Pulse AI Solutions will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the amounts you paid to us for the specific services giving rise to the claim during the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Pulse AI Solutions and its officers, employees, and contractors from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your violation of these Terms, your misuse of the Services, or your violation of any law or third-party right.

Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

Termination

We may suspend or terminate your access to the Services at any time, without notice, if we believe you have violated these Terms. Termination of an engagement for services is governed by the applicable signed agreement. Provisions that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification — will survive.

Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Frederick County, Maryland, and you consent to the jurisdiction of those courts.

Changes to These Terms

We may update these Terms from time to time. Changes take effect when the revised Terms are posted on this page, and the “Last updated” date above will reflect the revision. Your continued use of the Services after a change constitutes acceptance of the revised Terms.
